Terms of Service

1. Agreement to Terms

By accessing or using AdSimple ("the Service"), operated by Rounders to Founders, Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

AdSimple is an AI-powered advertising management platform that creates, runs, and optimizes Facebook and Instagram advertisements for local service businesses. The Service includes:

• AI-generated advertising creatives (copy and images)
• Automated campaign management on Meta advertising platforms
• Business enrichment and competitive intelligence
• Performance tracking and reporting
• Automated campaign optimization

3. Accounts and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old and have the authority to bind your business to these terms.

4. Subscription and Pricing

Platform Subscription: AdSimple charges a monthly subscription fee of $49/month for access to the platform, including AI-generated creatives, campaign management, performance dashboard, and weekly reports.

Free Trial: New users receive a 3-day free trial and $50 in advertising credits. The trial begins when you provide payment information. You may cancel at any time during the trial without being charged.

Advertising Budget: In addition to the subscription fee, you select a monthly advertising budget. This budget is used to run your ads on Facebook and Instagram. AdSimple manages the allocation of your advertising spend, which includes a service margin to cover platform operating costs, AI processing, campaign management, ad optimization, and ongoing support. The service margin is factored into the total advertising budget you select.

Billing:Subscription fees are billed monthly via Stripe. Advertising budgets are charged on the 1st of each month. All charges appear on your statement as "ADSIMPLE" from Rounders to Founders, Inc.

5. Advertising Campaigns

All advertising campaigns are created and managed through AdSimple's Meta Business Manager account. You authorize AdSimple to create and manage advertising campaigns on your behalf. AdSimple does not guarantee specific advertising results, including but not limited to impressions, clicks, calls, leads, or revenue.

Advertising performance depends on many factors including market conditions, competition, seasonality, and the quality of your business services. AdSimple uses AI to optimize campaigns but cannot guarantee specific outcomes.

6. AI-Generated Content

AdSimple uses artificial intelligence to generate advertising content including ad copy, images, and strategic recommendations. While we strive for high quality:

• AI-generated content should be reviewed before approval
• You are responsible for the accuracy of claims made in your ads
• AdSimple is not liable for AI-generated content that may be inaccurate
• You retain the right to approve, edit, or reject any generated creative

7. Competitive Intelligence

AdSimple provides competitive intelligence reports based on publicly available data including Google Places listings, publicly visible advertising data, and publicly accessible website content. These reports are for informational purposes only. Competitive data may not be fully accurate or up to date. AdSimple is not responsible for business decisions made based on competitive intelligence reports.

8. Cancellation and Refunds

You may cancel your subscription at any time through your billing settings or by contacting support. Upon cancellation:

• Active advertising campaigns will be paused
• You retain access through the end of your current billing period
• Subscription fees are non-refundable for the current billing period
• Unused advertising credits are non-refundable
• Advertising spend already committed to Meta cannot be reversed

9. Acceptable Use

You agree not to use AdSimple to:

• Advertise illegal products or services
• Create misleading or deceptive advertisements
• Violate Meta's advertising policies
• Infringe on intellectual property rights
• Harass, defame, or harm other businesses or individuals

AdSimple reserves the right to suspend or terminate accounts that violate these terms or Meta's advertising policies.

10. Intellectual Property

AI-generated ad creatives created for your campaigns are licensed to you for use in your advertising. The AdSimple platform, including its software, design, and branding, remains the property of Rounders to Founders, Inc.

11. Limitation of Liability

To the maximum extent permitted by law, AdSimple and Rounders to Founders, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid to AdSimple in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Rounders to Founders, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your advertising content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Nevada, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Clark County, Nevada.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.
